Buying your own Shah Alam warehouse, taken apart: why the REIT earns more than you on the same asset
Composite-board score: 4.0 · Where it is strong: Net cash flow, Stability & rule of law · methodology
This entry answers the Malaysia page's most natural question: if Axis REIT distributes 5.5% gross buying warehouses, can I skip the trust layer and earn more by buying a Shah Alam warehouse myself? Run it on registered data: JPPH registered median rents are RM1.63 psf/month for the 10–30k sq ft band — materially below today's asking rents of RM1.95–2.85, and using asking rents is the first trap. The model: 20,000 sq ft bought at an asking RM400 psf for RM8.0M produces RM391K of rent, a 4.9% gross; after about 8% vacancy, about 7% management, and RM90–120K of assessment, quit rent, insurance and maintenance, the pre-tax net is about 3.4–3.6%; after tax, about 2.4–2.5% for a non-resident individual at 30%, or about 2.6–2.7% through a company at 24% — below the REIT route's estimated 3.9–4.7% after tax, before counting single-asset binary vacancy, leasehold decay and RPGT on exit. The institutional 7% gross (Axis's Bukit Raja sale-and-leaseback, RM313M with a captive tenant) is not a price an RM8M buyer can replicate. Verdict: below the bar as an explainer — it does not condemn direct ownership; it prices its entry condition: direct only starts beating the REIT on a discounted sale-and-leaseback at 6.5–7% gross or better. At asking prices against registered rents, direct ownership is a negative screen.
In short: four lines first
About RM4–13M (10,000–30,000 sq ft, asking basis)
3.4–3.6%(Direct Shah Alam warehouse net rental return, full-cost model (this site))
High burden (single-asset management, renewals and repairs are all yours)
This entry is itself the risk statement: at today's asking prices against registered rents, a self-bought warehouse nets about 2.4–2.7% after tax — below the same class of REIT's estimated 3.9–4.7% after-tax distributions, with worse liquidity, diversification and management on top. The negative screen holds until prices move.
The numbers that matter
Why we think it makes money
It quantifies "structural efficiency" on the same asset class in the same city: the REIT's diversification, institutional acquisition pricing and exempt distribution components genuinely beat single-asset direct ownership at small tickets — the Malaysian version of the same lesson this site drew from India's InvIT entry, that layers have prices.
The asking-versus-registered gap gets named here: asking rents of RM1.95–2.85 against a registered median of RM1.63 — the conclusion flips depending on which number you underwrite. JPPH registered data is one of Malaysia's few free checkable property datasets and is worth a reader's acquaintance.
It leaves direct ownership a precise flip condition (a discounted sale-and-leaseback at 6.5–7% gross) instead of a blanket dismissal: this site's below-bar entries should always carry the price at which they would work.
How to actually get in
- Consent first: foreign purchases need s.433B State Authority consent (discretionary, 3–6 months), and Selangor restricts title types heavily (individual-title landed largely closed; strata/industrial case by case) — have a Malaysian solicitor confirm the specific title can be approved before any deposit. Penang mainland industrial has lower floors (RM0.5–1.0M) but thin stock.
- The only direct form this site endorses: a discounted sale-and-leaseback (owner selling with a long lease attached at 6.5–7% gross or better) — verified with the institutional buyer's checklist: tenant credit, lease term, and whether the rent premium over the JPPH district median is real.
What it costs, what it earns
Entry amount: About RM4–13M (10,000–30,000 sq ft, asking basis)
How much work for you: High burden (single-asset management, renewals and repairs are all yours)
- Purchase: price plus legal, valuation and consent-process fees; industrial stamp duty follows the general scale (the flat 8% foreigner rate for residential does not apply directly to industrial — verify per case).
- Holding: assessment, quit rent, insurance and structural maintenance; in vacancy, every cost is the owner's (single-asset binary risk).
- Exit: RPGT for foreigners at 30% (years 1–5) / 10% (thereafter); the buyer's 7%-of-price retention to LHDN is a cash-flow friction on the seller.
Basis: this site uses full-cost net returns only — income minus vacancy, management, maintenance, taxes and insurance, then financing interest, with entry costs in the denominator. See the methodology。

Risks: what could go wrong
What we have not verified yet
The following key figures have not yet been verified; the reason is noted for each item.
- The model's management rate and maintenance reserve are this site's assumptions (7% and roughly RM100K a year in scale): actuals vary widely with building age and lease terms.
- The availability of "discounted sale-and-leasebacks at 6.5–7% gross" in today's market: institutional buyers hunt the same stock, and this site has not verified a live supply aimed at foreign individuals.
FAQ
- Why can institutions (Axis) buy at 7% while I can only buy at 4.9% gross?
- Three things differ: price (a RM313M portfolio acquisition is certainty for the seller, and certainty is discounted for), tenant (a sale-and-leaseback arrives with a long lease attached; you buy vacancy or a short lease), and counterparty standing (institutions are the buyers sellers believe can close). The roughly two-point gap is the market price of scale and certainty.
- Registered rents (RM1.63) or asking rents (RM1.95–2.85) — which do I trust?
- Underwrite on registered, negotiate against asking: JPPH records rents actually signed, while asking rents are owners' hopes. Computing returns on asking rents means paying yourself out of the seller's wishes — this site's rule in every market.
- So when does direct ownership actually work?
- When price or structure concedes something significant: a discounted sale-and-leaseback (6.5–7% gross, long lease, checkable tenant), or a distressed seller's mispricing. Such stock does not sit on portal homepages — it circulates on brokers' institutional lists. The practical conclusion of this entry runs the other way: hold the exposure through the REIT first, and give your broker the written buy conditions, not the reverse.
