Vietnam English centres, taken apart: the most famous chain ended in a US$327M fraud indictment, and the survivors publish not one number
Composite-board score: 3.0 · Where it is strong: Tax friendliness, Evidence strength · methodology
Vietnamese English training is this site's specimen of a zero-evidence entry. The demand narrative was always seductive: strong parental willingness to pay and a prepaid model with beautiful cash flow. Every checkable fact sits on the other side. First, the structural blow-up is now a criminal case: Apax Leaders (about 120 centres and 120,000 students at its peak) saw its parent Egroup's chairman indicted by the Supreme People's Procuracy for allegedly appropriating VND 8.459 trillion (about US$327M) from 10,123 victims, with about VND 94bn of tuition unrefunded in HCMC alone; the prepaid-tuition-plus-rapid-expansion model's fragility is not theoretical. Second, churn is the norm: HCMC education-department data shows 112 language and IT centres dissolved or revoked in the 2025-26 school year against 292 new openings, with 1,961 licensed centres in the city as of August 2025 — low barriers, high turnover. Third, policy squeezes from both directions: public schooling became free in 2025 and regulators are clearing fee-charging "linked" English programmes out of public schools, while foreign teachers now need a degree, a 120-hour certificate and a work permit with strict document legalisation — the backpacker-teacher cost pool is gone (HCMC advertised teacher rates run VND 390–600K per hour). Fourth, and decisive for the grade: the surviving leaders (ILA, VUS, Apollo) are all private and publish no financial statements — every margin and payback figure in circulation comes from franchise brokers and centre-sale listings, and none meets this site's evidence standard. This site therefore publishes no return figure at all for this entry (one of the few entries with no number), rated below the bar as an explainer: before entering this industry, explain why you would be the exception.
In short: four lines first
Regulatory floor: VND 20M per student (excluding land); no citable real single-centre figure
112 centres(HCMC language and IT centres dissolved or revoked in one school year (2025-26))
High burden (heavy operations: teachers, compliance and prepaid-liability management)
This entry is itself the risk statement: a leader's criminal indictment (Apax), three-digit annual closures, a policy squeeze and the complete absence of auditable numbers — any one of the four would demote a sector to explainer grade on this site; this entry holds all four.
The numbers that matter
Why we think it makes money
The Apax case is a complete autopsy of the prepaid-education model: 10,123 victims and a VND 8.459 trillion alleged appropriation (indictment basis) restore "prepaid cash flow" from selling point to liability — a lesson every prepaid-tuition business should pass through.
Administrative data draws the industry's true shape: 1,961 licensed centres, 112 closures and 292 openings in a year — not a "sector" but a high-turnover red ocean whose returns belong to a small minority of sites and operators, not to "the industry" itself.
It gives the Vietnam page its services lesson: not every consumer service in Vietnam is foreigner-friendly money — foreign ownership of centres is legal (Decree 86/2018, minimum investment of VND 20M per student excluding land), but legal and underwritable are two different things.
How to actually get in
- The legal route (stated, not recommended): foreigners may establish a "short-term training facility" (Decree 86/2018/ND-CP) through an IRC plus operating licence, meeting facility and staffing standards (at least 2.5 sqm per student, at most 25 students per teacher) and the VND 20M-per-student minimum investment excluding land. Real single-centre fit-out runs far above the regulatory floor, but no operator publishes a citable all-in figure.
- This page offers no franchise or acquisition route: a market for single-centre transfers exists, but the financials are unverifiable — in a zero-evidence market, the diligent act is not to transact.
What it costs, what it earns
Entry amount: Regulatory floor: VND 20M per student (excluding land); no citable real single-centre figure
How much work for you: High burden (heavy operations: teachers, compliance and prepaid-liability management)
- Teacher costs (sharply higher after foreign-teacher compliance): advertised HCMC rates of VND 390–600K per hour, with local teachers and rent next.
- The liability nature of prepaid tuition: fees collected are unearned liabilities, not profit — in the closure wave, unrefunded tuition is a dual civil and criminal exposure.
Basis: this site uses full-cost net returns only — income minus vacancy, management, maintenance, taxes and insurance, then financing interest, with entry costs in the denominator. See the methodology。

Risks: what could go wrong
What we have not verified yet
The following key figures have not yet been verified; the reason is noted for each item.
- Industry-wide margins and payback periods: no citable source exists (all leaders are unlisted); this site explicitly publishes no figure — every number in circulation comes from brokers and transfer listings.
- True single-centre all-in investment: only the regulatory floor exists (VND 20M per student, excluding land); actual fit-out and rent vary too widely by case, with no published series.
FAQ
- Was Apax an isolated case or an industry disease?
- The model is the industry's; the scale was the case's: prepaid tuition plus franchise expansion with no escrow is the standard Vietnamese English-centre structure, and Apax merely ran it to a US$327M magnitude. When judging any centre, look first at the ratio of its prepaid liabilities to its expansion speed, not at its décor and advertising.
- Is Vietnamese parents' willingness to pay not famously strong?
- It is — and policy is repricing it: free public schooling and the in-school programme cleanup directly reduce the necessity of paying extra for English. Between willingness to pay and monetisable demand stands policy, and every services entry on this site's Vietnam page must pass the policy gate first.
- Why does this entry not even carry a "vendor model" number?
- Because not even a vendor-basis figure has a citable primary source: franchise brokers' payback claims come without documents, and transfer listings' asking prices without transaction verification. Printing a number labelled "vendor model" would still endorse it — where evidence is zero, this site's choice is to say plainly that there is no number.
