Philippine condotels and rental pools — a warning: no operator has ever published a citable distribution statement, so ask where the pool's money comes from first

This site's entry on condotels and developer rental pools is a warning, not an opportunity, because the evidence state fits in one sentence: no SEC-registered condotel or rental-pool operator publishes audited per-unit distribution statements — every return figure in circulation is developer marketing material (below even this site's lowest 'vendor model' label, because they do not state their model assumptions either). The warning's other side is entirely citable. First, the legal characterisation: selling rental-pool participations to the public is an investment contract, requiring SEC securities registration and authority to solicit; mere corporate registration is not that authority, the SEC repeatedly issues advisories against unregistered solicitation on exactly this pattern, and Philippine legal guidance lists 'condo rental pooling' among the standard solicitation schemes. Second, the mathematical confrontation: pool distributions must come from room revenue, while Metro Manila condo vacancy is 24.7% and the Bay Area — where much condotel stock sits — is above 50%; a pool cannot distribute revenue the market is not generating. Third, the boundary of protection: a developer's License to Sell (PD 957/DHSUD) licenses the sale of the units; it does not guarantee completion, occupancy or rental payouts, and reading it as a government endorsement is the commonest misreading. Verdict: treat as the scam belt (the same grade as the UK parking-space belt, entry No. 56) — not because every operator is fraudulent, but because in a market with zero audited disclosure the burden of proof sits with the seller, and the seller has never yet produced any evidence.

Roughly what it earns

(Condotel / rental-pool citable return figures)

The biggest catch

This entry is itself the risk statement: zero audited disclosure, an investment-contract registration requirement, and vacancy above 50% in the home submarket — three checkable facts carry the entire conclusion, with no forecasting required.

Figures we have not verified (shown for reference only, never used for conclusions):

Why we think it makes money

It is the far end of this site's zero-disclosure spectrum: Vietnamese English centres (No. 49) are 'an industry that publishes nothing'; here 'not one operator's number exists at all' — the two zeros have different shapes, and the reader's action is the same: do not transact; demand statements first.

The investment-contract characterisation has practical value: SEC registration and solicitation authority can be checked on the spot (ask the seller for the registration, then verify it with the SEC) — the most actionable self-protection step in any of this site's warning entries.

The Bay Area vacancy figure makes promises collapse on contact: any Bay Area condotel's occupancy assumption can be tabled against vacancy above 50% — a warning entry's power comes from confrontation, not adjectives.

How to actually get in

  1. This page offers no purchase route. If you are being pitched: demand (1) the SEC securities registration and solicitation authority documents, and (2) three years of audited per-unit distribution statements — if either cannot be produced, end the conversation. If you have already invested: keep the contract and payment records and consult the SEC and DHSUD separately (they govern different things).

Risks: what could go wrong

This entry is itself the risk statement: zero audited disclosure, an investment-contract registration requirement, and vacancy above 50% in the home submarket — three checkable facts carry the entire conclusion, with no forecasting required. If these happen, our take changes: If an operator completes SEC registration and publishes an audited per-unit distribution history, this site will assess that operator in a new entry (not this category).
The target population's structure: condotel marketing aims mainly at OFWs and foreign retirees — absent, hard to verify, and reached through long remittance trust chains, the standard hunting ground of solicitation products. If your family sits in the target population, this page is worth forwarding. If these happen, our take changes: None.
The 'international hotel brand' misreading: where a pool flies an international flag, the brand typically provides management services only and guarantees no distributions — the contracting counterparty is a local developer entity, and the brand is not credit enhancement. Check the counterparty and guarantee clauses word by word before signing. If these happen, our take changes: None (contract discipline).

FAQ

The developer has a License to Sell — is it not legal and safe?
A License to Sell says only that the project may be sold (a PD 957/DHSUD sales licence); selling investments to the public belongs to a different regulatory system, requiring SEC securities registration and solicitation authority. Reading a sales licence as an investment endorsement is the misreading this product family most depends on — asking the seller for the SEC registration documents is the fastest way through it.
The pool shares room revenue — if occupancy is low, are distributions not just lower?
Pool costs (management, maintenance, renewal, marketing) are rigid; when revenue falls through the cost line, distributions do not shrink — they go to zero, and contracts commonly add owner top-up clauses. With Bay Area vacancy above 50%, the revenue line in all likelihood sits below the cost line — draw that line before discussing any distribution percentage.
Where does it resemble the UK parking-space belt (entry No. 56)?
The same skeleton: an infrastructure-flavoured physical asset plus promised returns plus a buyback or management arrangement, assembled to route around securities regulation. Only the wrapping (a parking space versus a hotel room) and the jurisdiction differ. These two entries sit side by side so readers learn to recognise the skeleton rather than the wrapping — the wrapping changes; the skeleton does not.
